Terms & Conditions

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you — whether personally, on behalf of a sole proprietorship, commercial entity, partnership, or corporate merchant ("User", "Merchant", "You", or "Your") — and Engr. Tarikul Islam, along with the core application production and engineering team ("Developer", "Production Team", "We", "Us", or "Our"), governing your access to and use of the Easy Invoice mobile application, backend synchronization services, and related digital assets (collectively, the "Service").

By downloading, installing, registering an account, or creating invoices through the Service, you warrant and represent that: (a) you are at least 18 years of age or possess the legal majority required in your jurisdiction; (b) you possess full corporate and legal authority to bind yourself and the commercial businesses you register; and (c) you have read, understood, and unconditionally agree to all terms herein. If you do not agree to every provision of this Agreement, you are strictly prohibited from using the Service and must immediately delete your account and uninstall the application.

Easy Invoice provides multi-tenant organizational capabilities featuring Role-Based Access Control (RBAC) across three distinct organizational tiers:

Subject to your continuous compliance with this Agreement, the Developer grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to install and utilize Easy Invoice solely for legitimate commercial business invoicing and management purposes on supported devices you own or control.

Except as expressly authorized herein, you shall not, and shall not permit any third party to:

USER DATA OWNERSHIP: You retain 100% exclusive intellectual property and commercial ownership over all business profiles, logos, specialized product catalogs, customer contact records, invoice line items, pricing strategies, and financial summaries generated within your account. The Developer and Production Team claim zero intellectual property or commercial rights over your business data.

DATA PROCESSING LICENSE: You grant the Developer a limited, fully-paid, royalty-free, worldwide license strictly to store, process, transmit, and render your data as required to perform cloud synchronization, PDF generation, backup archiving, and customer analytics as instructed by your use of the Service.

EXPORT AUDIT LOGS & ANTI-MISUSE PROVISION: Easy Invoice provides one-click Excel data export and import tools for business continuity. Business Owners are provided with Export Audit Logs documenting export timestamps, user accounts, and data classifications. The Business Owner is exclusively responsible for monitoring export activities to safeguard trade secrets. THE PRODUCTION TEAM AND DEVELOPER BEAR ZERO LIABILITY FOR INTERNAL DATA THEFT, UNAUTHORIZED EMPLOYEE DATA EXPORTS, CORPORATE ESPIONAGE, OR MISAPPROPRIATION ARISING FROM EXPORTED EXCEL FILES.

NOT A CERTIFIED FINANCIAL OR TAX ADVISORY SERVICE: Easy Invoice is purely an administrative calculation, point-of-sale record-keeping, and document rendering software. NEITHER ENGR. TARIKUL ISLAM NOR THE PRODUCTION TEAM PROVIDE CERTIFIED PUBLIC ACCOUNTING (CPA), AUDITING, FINANCIAL ADVISORY, OR LEGAL TAX FILING SERVICES.

The calculation mechanisms for taxes, VAT, discounts, split payments, and due balances are provided strictly on an "as-configured" basis per user inputs. The User acknowledges and agrees that:

MERCHANT RESPONSIBILITY: You are solely and exclusively responsible for the quality, legality, delivery, and pricing of all goods, currency exchange transactions, digital codes, professional services, and recurring subscriptions billed to your customers using Easy Invoice.

THIRD-PARTY PAYMENT RAILS & GATEWAYS: Easy Invoice allows users to record and split payment receipts across channels including bKash, Nagad, Cash, Bank Transfers, and Partial Due balances. The Service acts solely as an internal accounting ledger and DOES NOT DIRECTLY PROCESS, ESCROW, TRANSMIT, OR CUSTODY FINANCIAL FUNDS.

Easy Invoice integrates with third-party application programming interfaces (APIs) and platform infrastructure, including Google Firebase (cloud storage & sync), Google Play Services (app deployment & security), and WhatsApp (direct PDF sharing).

Your interaction with these external services is governed by their respective terms of service and privacy policies. The Developer and Production Team do not control and accept no liability for:

You agree to use Easy Invoice strictly for lawful, legitimate, and authorized commercial purposes. You expressly agree NOT to use the Service directly or indirectly to:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS. ENGR. TARIKUL ISLAM, THE PRODUCTION ENGINEERING TEAM, AFFILIATES, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ENGR. TARIKUL ISLAM, THE PRODUCTION TEAM, DEVELOPERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, LOSS OF REVENUE, LOSS OF COMMERCIAL GOODWILL, WORK STOPPAGE, INVOICE DATA CORRUPTION, CLIENT DISPUTES, LOSS OF USE, UNPAID DEBTS, TAX AUDIT SANCTIONS, COMPUTER FAILURE, OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MONETARY LIABILITY CAP: NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, THE TOTAL AGGREGATE LIABILITY OF THE DEVELOPER AND PRODUCTION TEAM ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, UNDER ANY CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY, SHALL BE STRICTLY CAPPED AND LIMITED TO THE LESSER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO THE DEVELOPER FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) $1.00 USD (OR 100 BANGLADESHI TAKA).

You agree to defend, indemnify, and hold harmless Engr. Tarikul Islam, the production engineering team, contributors, infrastructure providers, and licensors from and against any and all claims, demands, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

USER BACKUP OBLIGATION: While Easy Invoice provides automated cloud sync and one-click Excel backup mechanisms, you acknowledge that you bear the primary responsibility for maintaining independent offline copies of your crucial fiscal and customer records. The Production Team is not responsible for data loss arising from device loss, software corruption, or unforeseen cloud outages.

TERMINATION BY DEVELOPER: The Developer reserves the right, without prior notice or liability, to suspend, restrict, or terminate your access to the Service if you violate these Terms, engage in fraudulent activity, or fail to comply with security guidelines.

SELF-SERVICE DELETION: You may permanently delete your account and all associated multi-business records at any time via Settings → Account Settings → Danger Zone → Delete Account. Upon deletion, all database records, product catalogs, customer directories, invoices, and backups are permanently and irreversibly purged from active servers within 30 days.

GOVERNING LAW: This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the substantive laws of Bangladesh, without regard to its conflict of law principles.

INFORMAL NEGOTIATION: Prior to initiating formal legal proceedings, you and the Developer agree to attempt to resolve any dispute, controversy, or claim amicably through informal, good-faith negotiations by providing written notice to easyinvoice.support@engtarikulislam.com for a period of at least thirty (30) business days.

BINDING ARBITRATION: If unresolved through informal negotiation, the dispute shall be finally settled under the Arbitration Act, 2001 of Bangladesh. The arbitration proceedings shall be conducted in Dhaka, Bangladesh, in the English language, before a single arbitrator mutually agreed upon by the parties.

CLASS ACTION WAIVER: YOU AND THE DEVELOPER AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

SEVERABILITY: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

FORCE MAJEURE: The Developer and Production Team shall not be held liable for any delay, failure in performance, or service interruption resulting directly or indirectly from acts of God, cyberattacks, network disruptions, telecommunications failures, government actions, power failures, or other circumstances beyond reasonable control.

ENTIRE AGREEMENT: These Terms, together with the Privacy Policy and Compliance Disclosures, constitute the sole and entire agreement between you and the Developer regarding Easy Invoice, superseding all prior oral or written understandings.
